Cross-Office Business Practices Team Closes IP Assets Deal

Fort Lauderdale, Fla. (March 6, 2019) – A Business Practices team led by Fort Lauderdale Managing Partner Michael G. Platner and Partner Solomon B. Zoberman, San Francisco Partner John J. Heber, and Los Angeles Partner Ryan S. Alexander recently represented a Software-as-a-Service (SaaS) and enterprise software developer client in the sale of its intellectual property assets to a principal international manufacturer of personal computers.

The cross-office team was successful in structuring the sale as an equity buyout, providing the client with a significant tax savings. They were also able to limit the developer’s liability for the buyer’s future applications of the IP assets, and retained the buyer as a client of the developer, creating a new revenue stream for our client.
