Pat Campbell is a partner in the Philadelphia office of Lewis Brisbois and is Vice-Chair of the Directors & Officers Litigation Practice. Pat's experience includes litigating cases involving business divorces, contracts, transportation, logistics, commercial torts, M & A, insurance, real estate, banking, trade secrets, foreclosure, lender liability, noncompete and non-solicitation agreements, labor and employment, collective bargaining, sports and entertainment, employment, intellectual property, franchise, corporate governance, criminal, land use, cannabis, procurement disputes, and First Amendment rights. 

He has served as outside general counsel to a number of businesses including both established and emerging growth companies.

Pat has handled and managed numerous transactions involving loans, business acquisitions, intellectual property, franchises, real estate, debt restructuring, compliance, and corporate governance.

In addition to years of private practice, Pat also served as in-house VP and general counsel to an international transportation and logistics company.

  • Represented college and professional sports officials’ and their unions for over twenty-five years. 
  • Obtained $20 million award in favor of client in an arbitration regarding the breakup of a real estate partnership.
  • Successfully represented a $1.7 billion buyer in Chancery Court in connection with a fraud claim arising out of a purchase agreement.
  • Successfully concluded over sixty million dollars in corporate finance transactions, over one hundred-million dollars in real estate transactions and over three hundred million dollars in business restructuring and/or sale transactions.
  • Drafted and negotiated franchise agreements securing $350 million in revenue for franchisor client. 
  • Represents cannabis company in dispute with municipality over attempts to restrict sale of certain products through general police power ordinance.
  • Successfully represented minority member in celebrity wine company in litigation with majority member over attempt to claw back minority member’s ownership interest.
  • Successfully represented businesses in obtaining indemnity coverage for commercial disputes relating to business divorce.

Representative Matters

  • Successfully represented minority owner in freeze out attempt involving celebrity brand spirits company, defeating conspiracy, embezzlement and breach of contract claims after multi-day arbitration hearing;
  • Successfully concluded over $50 million in corporate finance transactions and $100 million in corporate restructuring and/or sale transactions;
  • Represented college and professional sports officials’ and their unions for over 25 years, specifically in certification proceedings, collective bargaining, the prosecution and adjustment of grievances, contract administration, unfair labor practice charges, injunction proceedings, work stoppages, discrimination, intellectual property and Lanham Act litigation, web site design, litigation under the Fair Labor Standards Act of 1938, and the Employee Retirement Income and Security Act of 1974;
  • Served as counsel to the Professional Association of Golf Agronomists, the Association of Senior Tour Rules officials union that represent tournament agronomists and Rule officials employed by the PGA Tour, Inc., the Champions Tour, and the Nationwide Tour in all matters including certification, collective bargaining, contract administration, and grievances for over eight years. Successfully negotiated three collective bargaining agreements with the PGA Tour,Inc.;
  • Served as Associate General Counsel to the Major League Umpires Association representing them in all matters including collective bargaining, contract administration, and grievances;
  • Obtained a $20 million award in favor of a real estate developer against a joint developer through arbitration, 2 lower court confirmation proceedings, 2 appeals to the Pennsylvania Superior Court, and an appeal to the Pennsylvania Supreme Court in Strausser Enters v. Segal & Morel, Inc., 2016 Pa. Super. Unpub. LEXIS 2365 (2016), app. den. by 2016 Pa. LEXIS 2864 (2016).
  • Argued successfully before the United States Court of Appeals for the Third Circuit for the expansion of the Calder “effects test” in regards to exercising personal jurisdiction over out-of-state defendants in commercial tort cases in Remick v. Manfredy, 238 F.3d 248 (3d Cir. 2001).
