Lewis Brisbois’ National Corporate Practice Closes Two Significant Transactions on Behalf of Firm Clients

Lewis Brisbois’ national Corporate Practice recently closed two significant transactions on behalf of firm clients, successfully achieving the companies’ business objectives.

Ft. Lauderdale, Fla. (October 29, 2021) - Lewis Brisbois’ national Corporate Practice recently closed two significant transactions on behalf of firm clients, successfully achieving the companies’ business objectives.

In the first transaction, a cross-office team led by Corporate Practice Chair and Fort Lauderdale Managing Partner Michael G. Platner, with Fort Lauderdale Partners Jeffrey Weinstock and Robert Kritzman, advised Glasrock Products Inc., Oak Mountain Industries, Inc., Bisco Refractories, and certain of their owners in the sale of their businesses to Industry Services Co., Inc., a portfolio company of Osceola Capital Management – a private equity firm based in Tampa, Florida. Glasrock, Oak Mountain, and Bisco Refractories, which are based in Ontario, Canada, Pittsburgh, Pennsylvania, and Birmingham, Alabama, respectively, have provided an array of refractory services to a diverse customer base across a wide range of industries and markets. The national Lewis Brisbois team that advised these clients on the transaction also included San Diego Partner Christopher Gabbard, San Francisco Partner John J. Heber, Akron Associate Anna M. Luczkow, and Fort Lauderdale Associate Raphael Rosenzweig.

In a second matter, a cross-office team led by Mr. Platner and New York Partner Frank J. Cerza advised Global Communication Networks, Inc. (GCN), a Florida-based full-scale connectivity integrator, on the sale of its assets to UpStack Global LLC. Since its inception, GCN has provided businesses with technology solutions, including colocation, networking, cloud computing, voice solutions, and project management services. The national team of Lewis Brisbois attorneys that worked with the firm’s clients to close this sale also included Mr. Heber and Mr. Weinstock, Sacramento Partner John P. Yung, Fort Lauderdale Partners Howard M. Gitten, Gary J. Romer, and Cheryl Wilke, as well as Akron Partner David Kern, Akron Associate Casey J. Davis, and Fort Lauderdale Associate Soo Jin Isicoff. These team members advised on matters including real estate, executive compensation, tax, securities, intellectual property, and employment issues.

In addition to advising clients on the above matters, earlier this year, Lewis Brisbois’ national Corporate Practice represented Delivery Dudes, a South Florida-based food delivery app, in its acquisition by Waitr Holdings, Inc., a NASDAQ-traded, on-demand food ordering and delivery company, and closed a series of other complex transactions on behalf of firm clients.
