Francis Pileggi, Chauna Abner Publish Annual Review of Key Delaware Corporate and Commercial Decisions for Delaware Business Court Insider
Wilmington, Del. (January 21, 2021) - Wilmington Managing Partner Francis G.X. Pileggi and Associate Chauna A. Abner recently published the first portion of a two-part article for the Delaware Business Court Insider (part of Law.com) titled, “16th Annual Review of Key Del. Corporate and Commercial Decisions (Part I),” which describes notable corporate and commercial decisions in 2020 of the Delaware Supreme Court. Part II of the article will address key 2020 corporate decisions of the Delaware Court of Chancery.
In the article, Mr. Pileggi and Ms. Abner analyze the significance of several key Delaware corporate and commercial decisions from 2020, many of which have not been covered by the mainstream press or legal trade publications. The authors briefly describe the underlying facts of each case, explain the court’s analysis, and state the “key takeaways.”
The decisions that the authors discuss include those in which the Delaware Supreme Court (1) addressed legal nuances related to the fiduciary duties of disclosure and loyalty, (2) determined the meaning of an agreement by parsing syntax and sentence structure, (3) clarified contract-based right to corporate records, and (4) rejected two common defenses to stockholder demands under the corporate statute.
Mr. Pileggi and Ms. Abner are members of Lewis Brisbois’ Complex Business & Commercial Litigation Practice. They focus primarily on high-stakes disputes of corporations, stockholders, members of boards of directors, members and managers of LLCs, and those with managerial or ownership interests in other forms of entities.
Mr. Pileggi has published an annual list of key corporate and commercial decisions of the Delaware Supreme Court and the Delaware Court of Chancery for the last 16 years.
