Patrick LaRue is a partner in the Houston office of Lewis Brisbois. His practice focuses on corporate counseling and advisory services, corporate governance, mergers and acquisitions, finance, commercial real estate and leasing transactions and healthcare transactions, which include:

  • Providing corporate counsel and advisory services to private and public clients in corporate restructurings, recapitalizations, mergers, acquisitions, divestitures, conversions, joint ventures, partnerships and private equity/venture capital;
  • Representing clients in public and private offering transactions and financings, including private placements and debt/equity offerings;
  • Representing clients in corporate finance, commercial real estate financing, leasing and transactions;
  • Advising board of directors with compliance and committee formation issues;
  • Representing a diverse clientele, such as start-ups, entrepreneurs and privately held companies with routine and complex business and legal issues, including entity formation, company agreements, buy/sell agreements, financing, capital raising and exit strategies;
  • Serving as outside general counsel to privately-held companies and organizations;
  • Representing healthcare providers and practice groups, including medical, dental, veterinary, and ophthalmology/optometry professional services.

Mr. LaRue’s practice consists of representing clients in various industry sectors including healthcare, commercial real estate, energy, banking and finance, entertainment, venture capital, and telecommunications.

Representative Experience

Mergers & Acquisitions

  • Represented public company in $450 million Senior Notes Offering (Rule 144A Debt Offering)
  • Represented a private safety and inspection services company in an approximate $17 million sale of equity to a subsidiary of a publicly-held UK investment fund
  • Represented a private oil and gas drilling company in a $58 million asset sale to a publicly-held Canadian energy company
  • Represented Texas-based company in its acquisition of terminal assets in a $20 million asset transaction
  • Represented publicly held company in multi-million-dollar acquisition of an operating subsidiary holding Gulf of Mexico shelf assets and operations
  • Represented a Texas oilfield parts distributor in its acquisition of a Colorado-based consulting firm
  • Represented publicly held Japanese corporation in the merger of its two wholly-owned subsidiaries

Commercial Real Estate

  • Represented numerous clients (landlord and tenant representation) over 18 years in commercial transactions, acquisitions, divestitures, title insurance/policies, endorsements, recording & special projects, 1031 property exchanges, development, commercial leasing matters, including industrial, office, retail, multi-use and healthcare sectors.

Finance

  • Represented 18 affiliated Texas entities, as borrowers and guarantors, with respect to a series of loans, including a (i) $325 million mortgage loan, (ii) $16.5 million first mezzanine loan, and (iii) $65 million second mezzanine loan
  • Represented client in a $25 million senior secured term loan for acquisition of real estate located in San Antonio, Texas
  • Represented client in the construction, development and financing of an approximate 27,000 square foot ambulatory surgery center located in the Houston area
  • Represented client in the construction, development and financing of an approximate 29,000 square foot medical office building located in the Houston area
  • Represented client in a $4.6 million mortgage loan for acquisition of real estate located in Austin, Texas
  • Represented client in a $9.25 million mortgage loan for assumption of loan of real estate located in San Antonio, Texas
  • Represented client, as borrower and guarantor, with respect to a $97 million loan
  • Routinely serve as Texas special local counsel with respect to real estate financing transactions and legal opinions

Healthcare

  • Represented numerous healthcare groups and providers in their overall practice, including entity and partnership structuring, buy/sell agreements, practice divestitures and acquisitions, equipment finance, and commercial real estate and project development (including surgery centers, urgent care, free standing emergency rooms, senior/assisted living centers, dental, veterinary, medical and eyecare offices and commercial leasing).
