David Hargis is a partner in the Houston and Dallas offices of Lewis Brisbois.

David maintains a diverse practice that includes commercial litigation, professional liability defense, directors and officers, litigation and arbitration, and real estate/construction transactions and litigation. David was born and raised in South Louisiana and moved to Houston as a teenager. His Cajun roots combined with his outgoing personality enable him to forge lasting relationships with his clients. David prides himself on providing practical guidance as effectively and efficiently as possible.

Commercial Litigation

David represents an array of plaintiffs and defendants in a variety of commercial disputes, in both state and federal court, as well as arbitration. David has a knack for “cutting to the chase” in negotiations, but when necessary, also has first-chair experience in trial.

David’s experience includes simple breach of contract and collection cases to complex commercial transactions involving breach of fiduciary duty, shareholder disputes, officer and director liability, trade secrets, and insurance coverage claims.  David has extensive experience prosecuting and defending applications for injunctive relief.  David has successfully wound-up several businesses through receivership proceedings.

David has defended executives, title companies, insurance companies, banks, credit unions, broker-dealers, registered investment advisors, engineering firms, against claims of breach of breach of contract, fraud, breach of fiduciary duty and a variety of other claims.   

Intellectual Property

David has represented companies, in several industries, in disputes related to intellectual property.  Notably, David represented a national medical supply company against a former employee for illegal possession and use of the company’s intellectual property. David quickly filed suit for theft of trade secret and copyright infringement.  Shortly thereafter, David secured a court order requiring the former employee to return the company’s intellectual property and restricting the former employee from further disseminating the company’s copyrighted materials for his personal benefit.  Also, David represented the principles (also the IP owners) of an organic food preservation company in a dispute with licensees for improper use of the company’s intellectual property. 

Securities Litigation & FINRA

David represents broker-dealers and brokers in both customer and industry FINRA arbitrations. David’s understanding of the FINRA arbitration process enables him to develop each case efficiently and proceed to an arbitration hearing when necessary. David also provides guidance to brokers considering a transition to a new firm. He has negotiated dozens of non-competition/non-solicitation agreements, employee forgivable loans, and deferred compensation.  

Real Estate, Land Use & Environmental

From entity formation/structure, to negotiating terms of a purchase agreement, to various due diligence items such as title and environmental issues through closing, David has handled every aspect of complex real estate transactions. David has handled several landlord-tenant disputes, construction contract disputes, a variety of mechanic’s and materialmen’s liens, mineral interest liens, and resolved eminent domain issues and title disputes following foreclosure and bankruptcy. David regularly negotiates commercial leases for his clients.  Importantly, David also has extensive experience negotiating with lenders on behalf of his clients. 

David’s wife Amy is also a lawyer handling pharmaceutical claims and representing commercial property owners in first-party insurance disputes. Together, they enjoy spending time with their two children, traveling, cooking, playing tennis, running, spending time at the lake, and trying new restaurants. David is an avid Houston sports fan and is always prepared to debate Astros lineup tweaks, the Rockets rebuild, and the Texans quarterback situation.
