Ryan Alexander is a partner in the Los Angeles and Dallas offices of Lewis Brisbois. His practice focuses on corporate, commercial and intellectual property and technology transactional matters.
Ryan represents publicly-traded companies, privately-held companies, private equity funds, partnerships and professional service firms for clients in the automotive, consumer products, utility, government vendor, financial services, and media and advertising sectors. He has also served as in-house counsel for a publicly-traded company.
He has lead the completion of numerous acquisitions and sell-offs of a variety of businesses ranging in deal size between $100,000 and $15,000,000, and has participated in numerous acquisitions and sell-offs ranging from $5,000,000 to $8,000,000,000. He has also led and completed extensive reorganizations, consolidations, and relocations of businesses and operations worldwide.
Ryan has completed numerous private securities offerings up to $10,000,000. In addition, he has completed various other forms of financing and credit facilities.
He has provided services to private equity funds including, formation, the sale of fund interests, the purchase and sale of portfolio interests, and regulatory compliance.
Ryan has extensive commercial experience and has completed transactions relating to the design, development, manufacture and sale of products, and the sourcing of materials, products and technology worldwide. He has also prepared numerous distribution, dealer, and franchise agreements. In addition, he has created sales and warranty policies for numerous high-end consumer products manufacturers, and has counseled clients regarding manufacturers’ obligations pursuant to federal and state warranty laws.
He has considerable intellectual property transactional and licensing experience including the licensing and transfers of technology, software, trademarks, and personality and name and likeness endorsements. He has completed numerous insourcing and outsourcing transactions relating to the design, development, manufacture and distribution of products and services. He is also registered to practice before the United States Patent & Trademark Office.
Ryan provides counsel concerning antitrust regulations applicable to vertical and horizontal trade practices, price discrimination, and performed a Hart-Scott-Rodino analysis for the acquisition of a Southern California refinery. He also provides counsel and guidance to clients regarding U.S. export compliance, in accordance with International Traffic in Arms Regulations, Export Administration Regulations and the Office of Foreign Assets Control concerning exports of U.S. - government controlled technologies, the selection and engagement of international service providers and customers, and the completion of financial transactions, and the receipt of foreign payments. In addition, Ryan has created and implemented export compliance training programs for globally sourced and distributed products as well as other various compliance training programs. He also counsels financial and management service companies regarding compliance with federal and state securities laws.
He has also satisfactorily resolved investigations and inquiries from the Department of Commerce, Department of the Treasury, California Employment Development Department and Cal/OSHA, and has provided guidance and assistance for compliance with the Environmental Protection Agency.
