William Medford is a partner in the Dallas office of Lewis Brisbois and a member of the Bankruptcy & Insolvency Practice. He advises clients in corporate reorganizations, loan agreements, financial restructuring, commercial litigation, fraudulent transfers, turnaround management, foreclosures, receiverships, liquidations, and asset purchase agreements.
He negotiates contractual agreements and resolves disputes in a wide variety of industries: oil and gas, health care, trucking, commercial equipment leasing, real estate, commercial lending, and mezzanine financing.
Representation of secured creditors and unsecured financiers, unsecured creditor committees, debtors-in-possession, chapter 11 and 7 trustees, examiners, purchasers of assets, lessors, and other financial interests.
Experience in bankruptcy and adversary proceedings and appeals to the district courts and Fifth Circuit Court of Appeals. Significant experience regarding: representing lenders, debtor in possession financing agreements, drafting asset purchase agreements for pharmaceutical, steel distribution companies, oil and gas companies, radio and television stations, senior care companies, hospitals, and various clients in pharmaceutical, dental, and other health care related bankruptcies/restructurings.
Representation of mezzanine financing, asset based lending, real estate finance, and equipment financing
Negotiation and drafting of credit agreements, workouts, and enforcement of creditor rights.
Representation of creditors, receivers and businesses purchasing assets from Federal and state court receiverships.
Experience negotiating and drafting commercial credit agreements and amendments, forbearance agreements, assignments for the benefit of creditors, workout agreements, and institution of foreclosures and liquidation of commercial loan portfolios.
Experience in healthcare distressed assets and insolvency in restructuring, sales, bankruptcy and workouts, representing official creditor committees, debtors, secured and unsecured creditors, and purchasers of assets.
